The Senior Commercial Counsel – EMEA role forms part of the EMEA Legal Team and is highly diverse, supporting the Consumer and Flavour Solutions businesses and all enabling functions both in the UK and across the EMEA region.
The role works closely with EMEA senior management, key account managers and colleagues in Procurement, Finance, Supply Chain, Digital, HR and other teams. The role reports to and works on a day to day basis with the Associate General Counsel – EMEA (“AGC”) and will be expected on occasion to deputise for the AGC.
The main areas of responsibility include: supporting the AGC in delivering the strategic objectives of the EMEA business and the EMEA Legal Team; advising senior management and other key stakeholders on significant legal issues, drafting and negotiating a wide range of customer and supplier contracts; advising on sector specific regulatory issues; providing support to business reorganisations; advising on IP issues and advising on the UK’s advertising and marketing regulatory regime.
MAIN RESPONSIBILITIES
* Reviewing, drafting, negotiating and advising on a variety of contracts including Supply, customer, cross border, framework and e-commerce contracts.
* Advising and collaborating with senior management on significant legal issues impacting ongoing business activities and future development opportunities in order to facilitate opportunity and risk assessment and sound business decision-making.
* Design, development and implementation of legal function process improvements, policies and procedures and delivery of legal training.
* Researching and writing legal briefing notes and advising on issues such as competition law, industry codes of conduct, and advertising regulations.
* Working in a cross-functional matrix on business matters
* Handling ad hoc queries and other matters as assigned which may be advising the UK business or other entities in the EMEA region not covered by inhouse counsel.
* Effectively managing external counsel at the direction of the AGC.
CANDIDATE PROFILE
* LLB Bachelor of Law or equivalent, Legal Practice Course or Solicitors Qualifying Examination.
* Current Law Society/SRA Practising Certificate (UK qualified).
* 4-6+ years’ post-qualification experience in commercial/corporate law.
* Trained and qualified at a top law firm.
* Previous in-house experience, ideally with a public listed company.
* Experience in the FMCG sector, ideally at least some of that cross-border.
* A solid grounding in UK Contract law and experience of negotiating UK and cross border contracts,
* Working knowledge of IP law and experience of negotiating and drafting IP licenses.
* Knowledge of UK Bribery Act, FCPA, Modern Slavery Act and a working knowledge of the UK Competition Law regime.
* Experience of advertising and marketing regulation.
* Some exposure to e-commerce regulations preferable.
* Experience of instructing and managing external counsel.
* Experience of working in a cross-functional matrix organisation
* Ability to take a pragmatic, risk-based approach and to use legal knowledge to help deliver the strategic objectives of the business.
* Ability to explain legal concepts and issues clearly, succinctly and in plain English at all levels of the organisation.
* Well-developed communication skills and the ability to persuade and influence.
* Ability to interact at all levels of the business and to be an ambassador for McCormick brand values internally and externally.
* Able to work under direction but also use initiative and work with autonomy where appropriate.
* Ability to remain calm under pressure and keep those calm around you and maintain a sense of humour.
* Effective negotiation skills.
