Client Overview
My client are an established and fast growing property group that has 8 businesses operating in the management of 60,000 units across the UK. They are already offering a premium service to their existing clients and have firm relationships with established developers. To support the growth of the group they are looking to add a Legal Secretary (Property) to their team in Bourne End to assist the group. The successful applicant will be supported by the internal and external team to ensure that the service delivery is kept to a high level.
Role Overview
To assist the Company Secretary /Company Solicitor in the delivery of governance & statutory compliance services across the Group companies in the role as lead administrator for company secretarial services. You will need to be a well-organized and proactive individual, good at diary management to ensure no filing dates are missed. You must be able to direct another administrator and ensure no deadlines are missed.
Key Duties
Maintaining statutory books, maintaining registers of members, shareholders, directors and secretaries either manually or through Jordans Company Secretarial Software or such other software as is provided;
Lodging required forms, annual returns and statutory accounts with Companies House either manually or through Jordans Company Secretarial Software;
Ensuring compliance with all legislation and regulatory requirements;
Providing the terms and conditions for the service to all client companies and ensuring that the service is provided in accordance with those terms;
Organising and preparing agendas and notices for board meetings and general meetings (AGMs/EGMs), writing up or taking minutes, drafting resolutions;
Attending board meetings, committees and general meetings (AGMs/EGMs) from time to time;
Dealing with correspondence, collating information and ensuring decisions made are communicated to the relevant company stakeholders;
Maintaining the register of shareholders and monitoring changes in share ownership of the companies;
Dealing with the Accountants in preparing dormant accounts and abbreviated accounts and lodging with Companies House;
Dealing with the Accountants and HMRC in the matters of Corporate Tax liabilities and statutory compliance;
Monitoring changes in relevant legislation and the regulatory environment and reporting to the relevant company stakeholders;
Liaising with external regulators and advisers, such as Companies House, HMRC, lawyers and auditors;
Subletting: Receiving notices of subletting and collecting the sublet registration fees.
Response times to requests/emails from colleagues and enquiries from leaseholders/mortgagees/conveyancers and other correspondence
Assistance given to the directors, company solicitor/senior legal advisor, property managers and accounts staff.
Timely provision of accurate information to directors and company solicitor/ senior legal adviser.
Accuracy of data handling in statutory books.
Provision of written information in a clear, concise and accurate manner to colleague and third parties.
Professional drafting and presentation in all work undertaken.
Customer satisfaction (letters of complaint/survey)
